BANK OF AMERICA PATRIOTS FAN OF THE YEAR OFFICIAL CONTEST RULES

NO PURCHASE NECESSARY TO ENTER, PLAY, OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING.

ELIGIBILITY:The Bank of America Patriots Fan of the Year contest is open to legal residents in Connecticut, Maine, Massachusetts, New Hampshire, Rhode Island, and Vermont who are at least 18 years of age on the date of their entry submission. Employees of Bank of America Corporation ("Bank of America" or "Sponsor"), New England Patriots L.P. ("Patriots"), National Football League ("NFL"), Octagon Worldwide ("Octagon"), and their respective parents, subsidiaries, directors, owners, employees, agents, affiliates, sales representatives, retailers, distributors, and promotion, and other vendor agencies involved in this Contest (collectively "Released Parties"), and the households and immediate family members (defined for the purposes of this Contest as parent, spouse, child, and sibling) of such employees, are not eligible. Contest is subject to all federal, state, and local laws and regulations. Void where prohibited or restricted by law.

CONTEST PERIOD:The Contest runs between 9:00 a.m. Eastern Time ("ET") on September 6, 2010 until 12:00 a.m. ET on December 9, 2010 (the "Promotional Time Period").

HOW TO ENTER:Limit one (1) entry per person, regardless if entry is photo or video. If more than one entry is received per person/e-mail address, all such entries submitted will be disqualified.

Visit the Patriots official website www.patriots.com, and follow the on-screen instructions to the Fan of the Year contest entry page. Entries will be made by the authorized account holder of the e-mail address submitted at the time of registration. The "authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, on-line service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted e-mail address. Entries must be submitted by, and in the name of, one individual.

All video and picture submissions by entrants must showcase how they bring their love of the New England Patriots into their local communities through philanthropic and social awareness activities. The Sponsor will review all submissions. Based on the Sponsor's discretion, any pictures or videos that include disparaging or offensive content will be disqualified from the contest. Videos longer than :60 seconds will also not be accepted.

Contest entrants' assigns and transfers to Sponsor all rights, title and interest to the videos or pictures. All videos and pictures, whether eligible or ineligible, will become property of the Sponsor and Patriots. The Sponsor and Patriots shall have the right to copy, edit, modify, crop, adapt, reproduce, broadcast, publish, in whole or in party, all videos and pictures entered for the contest in any manner without further compensation (except where prohibited by law).

CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR OTHERWISE CORRUPT THE CONTEST OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO DISQUALIFY, PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

WEEKLY SELECTION: The Sponsor will select three (3) entries for each week prior to the Patriots first seven (7) home games. These three (3) weekly entries will be posted to the Patriots' official website and voting will open on the Monday prior to the next upcoming home game and close each Thursday prior to a home game at 12:00 p.m. The entry receiving the most votes on the page will be the weekly winner and automatically submitted as a finalist for the Grand Prize. In case of a voting tie, the Sponsor will select the weekly winner. From the seven (7) weekly winners the Sponsor and Patriots will select one (1) Grand Prize winner as the 2010 Bank of America New England Patriots' Fan of the Year.

GRAND PRIZE JUDGING: Each of the seven (7) weekly winner video or picture will be ranked in the following criteria (a) Originality/Creativity (65%), (b) Appropriateness to Subject Matter (25%) and (c) Sincerity (10%). Entrant whose video or picture earns the highest overall score will win. In the event of a tie, winner will be selected based on the Originality/Creativity criteria. Picture or video must be original, of entrant's own style and creation. Picture or video must not have been entered in any other competition or violate the rights of other parties. Picture or video may not be offensive or defamatory, as determined by the judges. Grand Prize winner selection conducted by Sponsor and Patriots whose decisions are final.

PRIZES AND APPROXIMATE RETAIL VALUES: The odds of winning depend on the number of eligible entries received.

One (1) Grand Prizes:Two (2) New England Patriots Season Tickets to all 2011 New England Patriots Home Games. New England Patriots Season Tickets includes all preseason and regular season home games. ARV: $1600*.

Seven (7) Finalists: One (1) $100 Patriots Team Shop Gift Card. ARV: $100 each

Total ARV of all prizes to be awarded is $2,300.00.

Prizes are not transferable by winner; no prize substitution or cash alternatives are allowed except by the Sponsor due to unavailability of prize. Sponsor reserves the right to substitute prize of the same approximate retail value. Prize consists only of items specifically listed as part of the prize. Certain conditions and restrictions apply.

GRAND PRIZE WINNER: Grand Prize winner will be notified via telephone and must be present at the final New England Patriots home game to accept the Grand Prize. All other prizes will be mailed to the winner at the address provided at time of entry. Prize winners may be required to complete and return a prize acceptance form including mutually agreeable liability release and publicity release onsite.

ADDITIONAL TERMS: By participating, (a) entrant agrees to release and hold harmless the Released Parties from any injury, loss, or damage to person, including death or property due in-whole or in-part, directly or indirectly to the acceptance or use/misuse of a prize, participation in any Contest-related activity, or participation in the Contest; (b) abide by these Official Rules and the decisions of the Sponsor; and (c) to Sponsor's use of entrant's name, likeness, and information supplied without notice or compensation as allowed by law. Released Parties are not responsible for any typographical or other error in the printing of this offer, administration of the Contest, or in the announcement of prizes. In the event Sponsor is prevented from continuing with this Contest, or the integrity and/or feasibility of the Contest is severely undermined by any event including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state or local government law, order or regulation, order of any court or jurisdiction (each a "Force Majeure" event or occurrence), Sponsor shall have the right, in its sole discretion, to abbreviate, modify, suspend, cancel, or terminate the Contest without further obligation. If Sponsor in its discretion, elects to abbreviate the Contest as a result of Force Majeure event, Sponsor reserves the right, but not the obligation, to award the prize from among all eligible entries received up to the date of such Force Majeure event. All entries are the property of the Sponsor and are not returnable. SPONSOR AND THEIR RESPECTIVE AFFILIATES AND REPRESENTATIVES HEREBY DISCLAIM ANY AND ALL REPRESENTATIONS AND WARRANTIES REGARDING THE SWEEPSTAKES PRIZES, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
